This Terms and Conditions of Use (“Agreement” or “User Agreement”) constitutes a contract between you and HENDRICK Solutions (collectively, the “Company”, “we”, “us” or “our”) as set forth in customer sales and service agreements and any subsequent third-party provisioning documents. We are dedicated to establishing trusting relationships with our Users (“End Users,” “Users,” “Customers,” “you” or “yours”) by respecting your personal identity, by promoting the use of fair information practices and by providing value to you via custom bundling of telecom products and services for which we serve as Agents.

1. THE LEGAL RELATIONSHIP BETWEEN YOU AND THE COMPANY. This Terms and Conditions User Agreement applies to your use of HENDRICK Solutions’ Products and/or Services (collectively the “Service”). By purchasing and using any HENDRICK Solutions Product or Service, you agree to the Terms and Conditions of this Agreement, the HENDRICK Solutions Privacy Policy, and any documents incorporated by reference or used in the provisioning process for said products and services. You further understand and agree that this User Agreement forms a legally binding agreement between you and HENDRICK Solutions, which constitutes “writing signed by You” under any applicable law or regulation. Any rights not expressly granted herein are reserved by HENDRICK Solutions. This Terms and Conditions Agreement is subject to change without prior notice (unless prior notice is required by law), by posting of the revised Agreement on the HENDRICK Solutions website. Notice of material amendments to this Agreement will be prominently posted in advance on the HENDRICK Solutions website, and described in detail under the “Updates” section this Terms of Service page. We may also or alternately, at our discretion, email you a copy of our updated policy. By agreeing to use Company Products and Services, you acknowledge that HENDRICK Solutions does not represent itself as a telecommunications provider, and is, in fact, not a telecommunications company. HENDRICK Solutions has a unique relationship with telecom companies such as AT&T which allow it to offer discounts and bundling opportunities with other telecom-based products and is, in fact an Authorized Agent with each of the companies referenced on the site at https://www.hendricksolutionsllc.com.

2. USER RESPONSIBILITIES. By accepting these terms and conditions, you acknowledge that you are at least 21 years of age at the establishment of your online HENDRICK Solutions user account. You agree to provide true, accurate and complete registration information and to maintain and promptly update your information as applicable. You agree not to impersonate any other person or use a name that you are not authorized to use. If any information you provide is untrue, inaccurate, not current, or incomplete, without limiting other remedies, HENDRICK Solutions has the right to terminate your use of the Software.
   a. Assignability. You may not transfer any rights or obligations you may have under this Agreement without the prior written consent of HENDRICK Solutions. HENDRICK Solutions reserves the right to transfer this Agreement or any right or obligation under this Agreement without your consent.
   b. Indemnification. You agree to indemnify and hold HENDRICK Solutions, its affiliates, officers, directors, employees, contractors and developers harmless from any claim, action, demand, loss, or damages (including attorneys‘ fees) made or incurred by any third party arising out of or relating to your use of the Software.
   c. Choice of Law. This Agreement is governed by and interpreted under the laws of the state of California, USA as such laws are applied to agreements entered into and to be performed for residents throughout the United States, regardless of conflict of laws principles. All parties agree that the United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act does not apply to these Terms. All parties agree that all of these claims can only be litigated in the federal or state courts in Pinellas County, Florida, USA, and all parties agree to personal jurisdiction in those courts. The end user agrees that HENDRICK Solutions can apply for injunctive remedies in any jurisdiction, however.
   d. Arbitration. Any controversy or claim arising out of or relating to this Agreement or the provision of Services shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Pinellas County, Florida, USA, and judgment on the arbitration award may be entered in any court having jurisdiction thereof. Either you or HENDRICK Solutions may seek any interim or preliminary relief from a court of competent jurisdiction in Pinellas County, Florida, USA necessary to protect the rights or property of you or HENDRICK Solutions (or its agent, suppliers, and subcontractors) pending the completion of arbitration.

3. ELECTRONIC COMMUNICATIONS. To the fullest extent permitted by applicable law, this Agreement and any other agreements, notices or other communications regarding your account and/or your use of the Service (“Communications”), may be provided to you electronically and you agree to receive all Communications from HENDRICK Solutions in electronic form. Electronic Communications may be posted on the pages within the HENDRICK Solutions website and/or delivered to your e-mail address. You may print a copy of any Communications and retain it for your records. All Communications in either electronic or paper format will be considered to be in “writing,” and to have been received no later than five (5) business days after posting or dissemination, whether or not you have received or retrieved the Communication. HENDRICK Solutions reserves the right but assumes no obligation to provide Communications in paper format. Your consent to receive Communications electronically is valid until you revoke your consent by notifying HENDRICK Solutions of your decision to do so by emailing us at support@hendricksolutionsllc.com. If you revoke your consent to receive Communications electronically, HENDRICK Solutions will terminate your right to use the Software.
   a. Correct E-mail. You agree and warrant that you have access to the internet and to a current functional personal e-mail address. Although we will take reasonable steps to contact you based on information that you have provided us, HENDRICK Solutions will not be liable for any undelivered e-mail communications or any costs you incur for maintaining internet access and an e-mail account. You have an AFFIRMATIVE OBLIGATION to provide HENDRICK Solutions with a correct and operational e-mail address, and to notify HENDRICK Solutions promptly as to any changes or cancellations of any and all e-mail addresses you provide HENDRICK Solutions.
   b. Build a Bundle Site Function / Registration In order to use Products and Services, you must first complete the “Build a Bundle” registration process. During registration, you are required to provide contact information (such as name, phone number and email address). We use this registration information to provide Products and Services, and to contact you with updates about Products and Services and other services that may be of interest. We may request or require that users provide general demographic information (such as job title and industry), so we can provide a more personalized experience. At the time of purchase of Products and Services, users must also provide payment information (such as a credit card number and expiration date). This information is used for billing purposes and to process users’ orders. If we have trouble processing a user’s order and/or collecting payment, the contact information is used to contact the user. If you begin but fail to complete the registration process for HENDRICK Solutions Service, we may contact you in an effort to help you sign up for HENDRICK Solutions or send you other emails with details about HENDRICK Solutions or other services that may be of interest. You can opt-out of receiving these emails by clicking on the opt-out link included in the emails.
   If you elect to use the “Get a Quote” or “Build a Bundle” form on the Site, you will automatically receive an email after your bundle request is sent to us. You will also receive an email from us confirming that we have received your telecom service request. We may also send you other emails with details about HENDRICK Solutions or other services that may be of interest. You can opt-out of receiving these emails by clicking on the opt-out link included in the emails or by contacting us at support@hendricksolutionsllc.com.
   c. Consent to Solicit. When submitting the “Get a Quote” or “Build a Bundle” form, by selecting the button “Submit”, I hereby authorize HENDRICK Solutions, directly or through its affiliates and marketing partners, to contact me from time-to-time by telephone, text, email and/or direct mail with information and offers about products and services that might interest me. By selecting the submit button, I hereby authorize HENDRICK Solutions LLC, directly or through its affiliates and marketing partners, to contact me occasionally by telephone, text, email, or direct mail regarding products and services of potential interest. I consent to receiving such communications at the contact information provided, even if listed on any “Do Not Call” registry. I acknowledge that calls and texts may be automated. To opt out of text messages, reply with “STOP.” I understand that consent is not required to make a purchase.Message and data rates may apply.
   d. Welcome Email and Special Offers We send all new users a welcome email to verify their information (such as name and email address) and password. Users may occasionally receive emails promoting the Company’s services and third party services that may be of interest to them (“Promotional Emails”). To opt-out of receiving these Promotional Emails, please see the Choice / Opt-out section below. We may also contact users by other communication channels such as telephone or mail using contact information provided by users or obtained from third party sources as set forth in the section on Third Party Intermediaries; Supplementation of Information below.
   e. Product Updates, Newsletters, Service Announcements We might send you communications which contain usage tips, product updates or updates to the Customer Agreement or these Terms. If necessary, we will also send you Service-related announcements. For instance, if a Service is temporarily suspended for maintenance, we may send users an email. Users cannot opt-out of these non-promotional communications unless they deactivate their account.
   f. Customer Service We communicate with users in reply to requests for assistance or regarding issues relating to users’ accounts. We may reply via email, phone, Web chat, mail or other available method, in accordance with users’ wishes.
   g. Third Party Intermediaries; Supplementation of Information In order for the Company to properly fulfill its obligations, to improve our Service and direct information to users about services that may be of interest to users, we may use third parties and may share users’ information with these third parties (such as AT&T or Spectrum) as required by the provisioning process. For example, the Company verifies the billing address on all credit card transactions and may obtain credit reports for some corporate users. We use an outside credit card processing company to bill users for Service. In addition, we may use third parties to host certain portions of our Site, to fulfill certain requests for information from our users and to comply with legal requirements. In order to personalize a user’s experience and provide relevant offers from us or our third party advertisers, we may share users’ information with third parties to learn more about users and their preferences. These companies are not to store or use personally identifiable information for any secondary purposes and the information obtained from these third party sources is maintained in a manner consistent with These terms and conditions.
   h. Choice/Opt-Out Users may opt-out of receiving Promotional Emails by clicking the opt-out link included in Promotional Emails. We also utilize third party advertisers to display advertisements for our Service on other web sites. If you would like more information about receiving the Company’s advertisements on other Web sites, or would like to opt out of this practice, please contact us via support@hendricksolutionsllc.com.
   i. Links These Terms applies solely to information collected by the Company through the Site, Products and Services and Customer Service. The Company has advertising and affiliate relationships with third party sites which drive interested parties to our Site. Information that is collected on their Web sites does not fall within these Terms. The Company may also have co-brand relationships with some Web sites. A Web site is a co-brand of the Company if it offers Company technology or services to its users under a different brand. The Co-Branded Web sites and third party sites will have their own privacy policies specific to each site, and the user should read them carefully before registration.
   j. Surveys Periodically, users might be asked to participate in surveys. Participation in these surveys is completely voluntary and the user therefore has a choice whether or not to respond or provide information. The requested information may include contact information (such as name and address) and demographic information (such as gender). Survey information will be used for purposes of monitoring or improving the use and satisfaction of the Company’s Service. Users’ personally identifiable information will not disclosed or shared with third parties unless set forth in these Terms or we obtain your permission. We may use an intermediary to conduct these surveys, but the intermediary may not use users’ personally identifiable information for any secondary purposes.
   k. Referrals If users are offered the opportunity to use our referral service for informing a friend about our Service, and elect to do so, we ask users for the friend’s name and email address. The Company will automatically send the friend a one-time email on the users’ behalf inviting them to visit the Company’s Site. The Company stores this information for the sole purpose of sending this email and tracking the success of our referral program.

4. USE OF PERSONALLY IDENTIFIABLE INFORMATION. The Company does not release personally identifying information about our users (other than as disclosed in these Terms) or monitor, edit or disclose the contents of users’ private communications through Products and Services except where the Company in good faith believes that such action is necessary to: (1) comply with the law or where we have a good-faith belief that such disclosure is necessary to comply with a current judicial proceeding, a court order or legal process served on us; (2) investigate, prevent or take action regarding illegal activity; (3) protect and defend the rights or property of the Company; or (4) to protect the personal safety of our users or the public. For example, we may disclose personal information to law enforcement, other government officials or third parties in response to criminal or civil subpoenas. Sometimes, these subpoena requests come from our third party Internet, telecommunications and collocation providers all over the world who supply the network required for us to deliver our Service. In order to maintain the integrity of our network, we often cooperate with requests from these third party providers and/or requests from law enforcement or other governmental officials directed to these providers. In cases where the Company believes that disclosure of any information about a user (including account information) is necessary, we reserve the right to disclose all information in our possession about such user.
   a. Provisioning of Service. Users should also be aware (and hereby agree) that certain technical processing of and access to securely stored customer information may be required to: (a) provide Products and Services, including without limitation, provisioning of orders with third-party vendors, establishing services and conforming to connecting networks’ technical requirements. The provisioning process also seeks to prevent or minimize disruptions to Products and Services during the setup / transfer process.
   b. Profile We may store information that we collect through cookies, log files and submitted forms to create a profile of our users. A profile is stored information that we keep on individual users that details their viewing preferences and Service usage. We may also gather information about users and users’ preferences from third parties. Consequently, information may be tied to users’ personally identifiable information to improve the content of the Site for users, improve our Products and Services and provide new services that are likely to be of interest to users and to direct pertinent product updates and marketing promotions to users if they have opted in to receive those promotions.
   c. Special Notification for California Residents Individual users who reside in California and have provided their personally identifiable information to the Company may request once per calendar year information about Company’s disclosures of certain categories of personally identifiable information to third parties for their direct marketing purposes. Such requests should be directed to the Chief Privacy Officer at support@hendricksolutionsllc.com. Within thirty days of receiving such a request, we will provide a list of categories of personal information shared during the immediately preceding calendar year with other businesses for their direct marketing purposes, and the names and addresses of those third parties. The Company reserves its right to not respond to requests submitted other than to the email address specified in this section.
   d. Security The Company takes every reasonable precaution to protect its users’ information. When our registration/order forms ask users to enter their personally identifiable information, that information is protected with encryption software called SSL. Any activities after you log into your account are also encrypted with SSL.
   While we use SSL encryption to protect personally identifiable information online, we also employ security measures to protect user-information off-line. All of our users’ information, not just the personally identifiable information mentioned above, is restricted in our offices. Only employees who need the information to perform a specific job (for example, our billing clerks or a Customer Service representative) are granted access to personally identifiable information. Finally, the Company servers that store personally identifiable information are in a secure environment.
   e. Changing Your Personally Identifiable Information If a user’s personally identifiable information changes (such as phone, credit card or email), users can update their information by contacting us via the site contact form or directly via email to support@hendricksolutionsllc.com.
   f. Notification of Changes If an amendment to our Terms in a non-material way is necessary, we will post those changes on this page, and other places we deem appropriate, so our users are always aware of of their rights relative to Company terms and conditions policies.
   If, however, we change our Terms in a material way, we will notify users via email. Users will have a choice as to whether or not we use their information in this different manner. However, if users have deleted/deactivated their account, then they will not be contacted if we change our Terms, nor will their personal information be used in this new manner.
   g. Data Retention The time period for which we keep information varies according to how we use the information. In some cases, there are legal requirements to keep data for a minimum period. Unless there is a specific legal requirement for us to keep the information, we do not retain it for no longer than is necessary for the purposes for which the data was collected or for which it is to be further processed.

5. TRADEMARKS. hendricksolutionsllc.com, bestinternetoptions.com, HENDRICK Solutions and all related logos, products and services described in the hendricksolutionsllc.com website are either trademarks or registered trademarks of HENDRICK Solutions, or its licensors, and (aside from the circumstances described in “Use of Logos” below) may not be copied, imitated or used, in whole or in part, without the prior written permission of HENDRICK Solutions. In addition, all page headers, custom graphics, button icons, and scripts are service marks, trademarks, and/or trade dress of HENDRICK Solutions and may not be copied, imitated, or used, in whole or in part, without the prior written permission of HENDRICK Solutions. Logos authorized for use on third party sites or other material may not be altered, modified, or changed in any way, or used in a manner that is disparaging to HENDRICK Solutions or the Service. Logos may not be displayed in any manner that implies sponsorship or endorsement by HENDRICK Solutions.

6. PRICING AND FEES. If you choose to subscribe to HENDRICK Solutions, you agree to pay the fees (“Fees”) as quoted to you when you purchase that Service. If your service includes a tangible item, we may calculate taxes payable by you based on the billing information provided us at the time of purchase. All Fees will be paid in United States dollars. HENDRICK Solutions reserves the right to change its prices at any time, however, if we have offered a specific duration and Fee for your use of the Service, we agree that the Fee will remain in force for that duration. After the offer period ends, your use of the Service will be charged at the then-current Fee(s). If you don’t agree to these changes, you must stop using the Service and cancel via email to support@hendricksolutionsllc.com (with cancellation confirmation from a HENDRICK Solutions representative). If you cancel, your Service ends at the end of your current Service period or payment period, and no refunds for previously paid services will be issued.
   If you do not cancel in accordance with these Terms, the subscription for the Service will automatically renew at the then-current price and for the same subscription period. We will charge your credit card on file with us on the first day of the renewal of the subscription period.

7. BILLING/PAYMENT. The end user agrees to provide HENDRICK Solutions with current, complete, accurate and authorized payment method information (e. g. credit card information) for the Service. The end user authorizes us to charge provided payment method for use of the HENDRICK Solutions Products and Services. We may bill: (a) in advance; (b) at the time of purchase; (c) shortly after purchase; or (d) if you have elected a subscription service, on a recurring basis. To the extent HENDRICK Solutions has not received your payment, in order to bring your account up to date, we may bill you simultaneously for both past due and current amounts. If you do not cancel your account, we may automatically renew your Service(s) and charge you for any renewal term. You understand and agree that failure to pay any charges or fees may result in the suspension or cancellation of your HENDRICK Solutions Products and Services Membership Service.

8. SUPPORT. If you have any questions or concerns regarding the Service, please email us at support@hendricksolutionsllc.com for assistance or call 1-815-714-9151 during business hours. Excluding holidays, our hours of operation are Monday through Friday, from the hours of 9:00 AM to 5:00 PM, Central Standard Time, although scheduled support calls may fall outside of those hours, based on end user availability.This Agreement is governed by and interpreted under the laws of the state of Florida, USA as such laws are applied to agreements entered into and to be performed for residents throughout the United States.

9. EFFECTIVE DATE and Updates to these Terms These Terms and Conditions are effective as of April 9th, 2024 for current users, and upon acceptance for new users.
